act legal Romania has successfully assisted The Yokohama Rubber Co., Ltd., one of the leading global tire manufacturers headquartered in Hiratsuka, Japan, on the acquisition of an Off-the-Road (OTR) tire production facility located in Drobeta-Turnu Severin, Romania. The deal is part of Yokohama’s strategic push to strengthen its off-highway tire (OHT) production capacity in Europe.
The transaction, valued at USD 35 million, was structured as a complex asset deal within Romanian insolvency proceedings, with the seller being a Romanian company in bankruptcy. The assets – land, buildings, and production equipment – cover approximately 200,000 sqm and were acquired by Yokohama’s local subsidiary, Yokohama TWS Romania S.R.L.
The act legal Romania team supported Yokohama throughout all phases of the transaction and was described by Jan Zima, Vice President Legal at Yokohama TWS, as “a true partner throughout this whole project. This acquisition is part of Yokohama’s “YX2026 – Hockey Stick Growth” transformation strategy and supports the group’s expansion of production and supply capabilities for mining and construction tires across Europe.
The deal was successfully closed with the involvement of a multidisciplinary team composed of Managing Partner Ștefan Botezatu, Partners Stelian Mic, Mihaela Poșircă, and Barna Bolonyi, Counsel Ruxandra Liștea, as well as Associates Andreea Modreanu and Bianca Neagu – each bringing their specific and valuable expertise to the table. Counsel Andrei Petre, together with Senior Associate Lorena Samoilă and Junior Associate Denisa Vâlcelaru, assisted the client in securing the foreign direct investment (FDI) clearance.
