D&B David şi Baias, the correspondent law firm of PwC in Romania, announces the promotion of Cătălina Nacev and Sonia Voinescu to Counsel, effective 1 September. At the same time, Andreea Stoica, Camelia Niță, Gabriela Ifrim, Andreea Toncu, Corina Celmare and Adriana Damșescu (Popa) have been promoted to Managing Associate, while Roxana Bodeanu and Andreea-Eleonora Roşu have been promoted to Senior Associate.

Counsel

Cătălina Nacev specialises in regulatory and compliance advisory, particularly in the retail and consumer protection sectors. She leads the Regulatory & Compliance legal advisory team, providing assistance to retailers, distributors, manufacturers, credit institutions, and other financial institutions.

She has extensive expertise in compliance and business conduct matters, with a particular focus on anti-money laundering, counter-terrorist financing, and international sanctions.

Cătălina has successfully led a wide range of licensing and compliance projects, as well as projects involving the implementation or adjustment of business models, including procurement flows and distribution channels. These projects have also involved representing clients before the relevant authorities, such as the National Authority for Consumer Protection, the National Office for the Prevention and Control of Money Laundering and the National Bank of Romania.

Cătălina graduated from the Faculty of Law of the University of Bucharest and holds a master’s degree in Judicial Careers from the same university. She joined D&B David şi Baias in 2016.

Sonia Voinescu has extensive experience in commercial law, competition law and State aid. In recent years, her work has focused particularly on complex State aid mandates, covering both individual State aid cases before the European Commission and the successful securing of grants for clients under national State aid schemes.

Sonia also handles competition law mandates, including complex contract reviews from a competition law perspective, assisting clients in obtaining merger clearances from the Romanian Competition Council and supporting them throughout antitrust investigations, from dawn raids to settlement and commitment procedures, as well as comprehensive defence strategies.

She also implements competition law compliance programmes, conducts risk assessments to identify sensitive areas and regularly delivers specialised training sessions and seminars.

Since 2024, Sonia has been recognised by Legal 500 as a Recommended Lawyer in Competition and State Aid.

Sonia graduated from the Faculty of Law of Babeș-Bolyai University in Cluj-Napoca, during which time she also received a scholarship to study at the University of Vienna. She subsequently completed a master’s programme in Business Law at the Faculty of Law of the University of Bucharest. She has been a member of the Bucharest Bar since 2013.

Managing Associates

Andreea Stoica has expertise in tax and administrative litigation, representing clients before both Romanian authorities and courts. Her practice focuses primarily on tax disputes and advice relating to corporate income tax, VAT, excise duties, royalties, social security contributions and local taxes.

She has been particularly involved in complex transfer pricing cases, providing assistance both before the courts and the tax authorities in mutual agreement procedures aimed at eliminating double taxation under double tax treaties and the Arbitration Convention.

Andreea graduated from the Faculty of Law of the University of Bucharest and holds a master’s degree in business law. She has been a member of the Bucharest Bar since 2015 and joined D&B David şi Baias in November 2015.

Camelia-Manuela Niță specialises in administrative and tax litigation and has extensive experience in tax and customs disputes. Her practice also covers corporate income tax, transfer pricing, VAT, personal income tax and social security contributions, as well as disputes involving competition law, consumer protection, and personal data protection.

Throughout her career, Camelia has assisted and represented clients from a wide range of industries during tax inspections and administrative proceedings before public authorities and court proceedings. She has successfully handled a broad range of complex legal matters, including disputes relating to tax inspections, the reclassification of financial transactions and challenges against decisions issued by the Romanian Competition Council and the National Authority for Consumer Protection.

She has provided legal assistance in cases referred to the Court of Justice of the European Union and has represented, among others, major players in the banking sector in high-stakes tax and regulatory disputes.

Camelia graduated from the Faculty of Law of the University of Bucharest and is currently pursuing a master’s degree in business law at the same university. She has been a member of the Bucharest Bar since 2018.

Gabriela Ifrim specializes in competition law, including anticompetitive practices, merger control, foreign direct investment screening and State aid, as well as commercial law and public procurement.

With extensive experience across her areas of practice, Gabriela has provided legal assistance and representation in major competition law projects, including investigations conducted by the Romanian Competition Council in areas such as financial leasing, the automotive industry and card issuers. She has also assisted with obtaining European Commission approval for State aid schemes and individual State aid measures notified by the Romanian authorities.

Since 2024, Gabriela has been recognised by Legal 500 as a Recommended Lawyer in Competition and State Aid.

Gabriela graduated from the Faculty of Law of the University of Bucharest and holds a master’s degree in criminal sciences from the same institution. She has been a member of the Bucharest Bar since 2018.

Andreea Toncu has strong expertise in competition law. Her work includes assisting clients during investigations conducted by the Romanian Competition Council, as well as handling merger control and foreign direct investment screening procedures.

Andreea also has extensive experience in compliance projects, including the preparation of competition law guidelines and training programmes, mock dawn raids, reviews of commercial policies, and the implementation of distribution systems.

Andreea has assisted numerous clients, including a major food industry operator in two Romanian Competition Council investigations concerning alleged price-fixing and market foreclosure agreements, successfully completing settlement and commitment procedures. She has also provided assistance in Competition Council investigations concerning the book supply, financial leasing, electronics and IT&C markets, as well as the automotive industry.

Her expertise also covers the negotiation, drafting and review of commercial agreements and internal policies, together with public procurement matters.

Andreea holds a law degree from the Faculty of Law of the University of Bucharest and has been a member of the Bucharest Bar since 2018.

Corina Celmare specialises in corporate law, mergers and acquisitions, and intellectual property law. She has provided legal assistance to a significant number of Romanian and international clients and has been involved in corporate acquisitions, domestic and cross-border mergers and spin-offs, various legal due diligence exercises, and the management of her clients’ day-to-day corporate matters.

Over the years, Corina has assisted companies operating in retail, agribusiness, hospitality, real estate development, energy, pharmaceuticals, aviation and IT, among other sectors.

Corina graduated from the Faculty of Law of the University of Bucharest in 2016. In 2017, she obtained a master’s degree from the same university, focusing on employment law and industrial relations. She has been a member of the Bucharest Bar since October 2016 and began her career at a nationally recognised Romanian law firm. She joined D&B David şi Baias in October 2022.

Adriana Damșescu (Popa) has extensive experience in commercial and corporate law, mergers and acquisitions, international restructuring projects, and employment law.

She has been involved in numerous legal due diligence exercises covering a wide range of sectors, including automotive, food, waste management, pharmaceuticals and healthcare services. Her experience also includes restructuring and reorganisation processes, such as mergers, spin-offs and cross-border mergers, as well as corporate transactions, including acquisitions, business transfers and asset transfers.

More recently, Adriana has expanded her area of interest to include the digital transformation of the legal profession, exploring how technology and innovation can contribute to the modernisation and increased efficiency of legal services.

Adriana graduated from the Faculty of Law of the University of Bucharest and completed a master’s programme in Business Law at the same university. She has been a member of the Bucharest Bar since October 2018 and has been part of the D&B David şi Baias M&A team since October 2018.

Senior Associates

Roxana-Elena Bodeanu has expertise in banking law, consumer protection, personal data protection and commercial law. She joined the Financial Services team at D&B David şi Baias in May 2022.

Roxana graduated from the Faculty of Law of the University of Bucharest in 2021 and also holds a law degree from the French-Romanian Law College of European Studies. She has been a member of the Bucharest Bar since April 2022.

Andreea-Eleonora Roşu joined the Litigation team at D&B David şi Baias in December 2022. Her areas of expertise include administrative and tax law.

She graduated from the Faculty of Law of the University of Bucharest in 2022 and has been a member of the Bucharest Bar since the same year.
