Wolf Theiss advised Pfisterer Holding AG in the acquisition of 100% of the shares in Lapp Insulators Holding GmbH

The Warsaw and Bucharest offices of Wolf Theiss have recently advised Pfisterer Holding AG in connection with its acquisition of 100% of the shares in Lapp Insulators Holding GmbH.

The acquired company is the third-largest supplier of high voltage insulators in the world. Its porcelain and composite products are used in high voltage and railway grids, switchgear and power equipment in over 70 countries.

The transaction was closed on 2 October 2015. The Wolf Theiss offices conducted a due diligence process on the Polish and Romanian subsidiaries of Lapp Insulators, located in Jedlina (Poland) and Turda (Romania). The Wolf Theiss Prague and Kiev offices also provided advice on certain Czech and Ukrainian legal aspects in relation to this transaction.

German law advice was provided by Heymann & Partner Rechtsanwälte GmbH. In addition to conducting a legal due diligence in the jurisdictions mentioned above, Wolf Theiss assisted the client with various aspects of the SPA negotiations and anti-trust issues.
